1. Parties
These terms apply to customers, subscribers, Certified Partners, Referral Partners, Internal Operators, System Admin users, customer contacts, and authorized portal users who create, review, process, or receive support, evidence, communication, audit, invoice, payment, licence, or agreement records.
2. Scope
These terms govern support cases, portal messages, evidence uploads or links, invoice evidence, payment evidence, billing details, legal/commercial documents, audit events, queue actions, denied-access events, support routing, and operational review.
3. Roles covered
These terms cover customers, subscribers, Certified Partners, Referral Partners, Internal Operators, System Admin users, Portal Admin users, customer contacts, support users, finance users, evidence reviewers, licence reviewers, and audit reviewers.
4. Role rights
Customers may submit and view their own support, evidence, messages, invoices, licences, and audit records. Certified Partners may view and process scoped partner/customer/referral support and evidence. Referral Partners may view only their own referral partner support and messages. Internal Operators and System Admin users may access records only according to assigned queues and governance permissions.
5. Responsibilities
Users must submit accurate evidence and support information, avoid unnecessary sensitive data, preserve audit context, respect assigned queues and data scopes, provide lawful instructions, and cooperate with status, dispute, rejection, supersession, and retention processes.
6. Data access boundaries
Support, evidence, and audit data is scoped by customer entity, partner attribution, referral partner ownership, support assignment, finance assignment, legal sensitivity, commercial sensitivity, and internal role. Users must not access unrelated customer, partner, referral, commercial, legal, finance, billing, or audit records.
7. GDPR and data processing terms
Support and evidence may contain personal data, financial data, customer documents, billing details, Qlik information, legal notes, procurement records, and operational messages. Processing is governed by the Privacy Policy, GDPR Processing Addendum, and Sub-Processor and AI Provider Policy.
OVH France may be used for hosting. Users must not submit unnecessary sensitive data and must ensure they have authorization to submit documents or personal data.
8. AI, automation, and no-reliance disclaimer
Support triage, evidence classification, invoice status, audit summaries, and queue recommendations may use automation or AI assistance. These outputs are not legal, financial, audit, procurement, security, compliance, or professional advice and require human review where appropriate.
9. No liability for customer-provided data or instructions
Modern Management is not liable for inaccurate, incomplete, unlawful, unauthorized, or misleading customer-provided or partner-provided evidence, documents, messages, billing details, payment references, support information, or instructions.
10. Limitation of liability
Modern Management is not liable for indirect or consequential losses arising from support delays, incomplete evidence, disputed invoices, payment-provider delays, document errors, customer instructions, partner submissions, or external service-provider behavior.
11. Audit and evidence retention
Support cases, messages, evidence records, status changes, rejected evidence, superseded evidence, invoice review, payment review, licence issuance, denied-access events, override events, and audit records may be retained for legal, dispute, tax, billing, governance, compliance, security, and operational purposes.
No silent deletion is promised. Superseded, rejected, or archived records may remain retained with status history.
12. Download and acceptance requirement
Applicable stakeholders must be able to download these terms. Acceptance may be required before support, evidence, invoice review, partner operations, internal operations, or customer workspace access.
