1. Parties
This agreement applies between Modern Management, the owning Certified Partner or System Admin where applicable, and the approved Referral Partner participating in Raptor MCP referral operations.
Independent Relationship
Referral Partners are independent participants in the RaptorMCP ecosystem.
Referral Partners are not employees, agents, representatives, distributors, resellers, franchisees, or legal representatives of Modern Management.
Referral Partners have no authority to:
- enter into contracts on behalf of Modern Management;
- negotiate commercial terms on behalf of Modern Management;
- issue licences;
- approve customers;
- approve partners;
- provide official support obligations;
- create binding commitments for Modern Management.
Referral Partners may only perform activities expressly permitted by this Agreement, the Referral Program, and applicable platform governance controls.
2. Scope
Referral Partners may submit or route customer interest through approved referral links, view their own referral attribution, view their own eligible referral earnings, communicate with their assigned Certified Partner or System Admin route, submit support requests, and access their own agreement and audit records.
3. Roles covered
This agreement covers Referral Partners, partner-owned Referral Partners, Strategic Referral Partners, the owning Certified Partner or Strategic Partner where applicable, System Admin reviewers, and authorized operational users processing referral records.
4. Role rights
Referral Partners may view only their own referral partner record, referral links, submitted requests, scoped messages, support cases, documents, agreement state, attribution evidence, and eligible earnings. Referral Partners may not invite Referral Partners, approve Referral Partners, manage referral hierarchies, issue licences, process invoices, view Certified Partner internal data, or access System Admin queues.
5. Responsibilities
Referral Partners must submit accurate referral information, use only approved referral links, respect customer consent and attribution rules, maintain current contact details, comply with referral and privacy terms, and cooperate with evidence, audit, dispute, and clawback review.
5A. Proof of Concept requests and assignments
Referral Partners do not receive licence-order, invoice, production-licence, partner-approval, or System Admin rights through a Proof of Concept request. Where a scoped workflow permits a Referral Partner or referred customer to participate in PoC evaluation context, any PoC request, evaluation licence scope, token/access assignment, activation, completion, feedback, expiry, or rejection remains temporary evaluation access only. It does not create production use rights, payment obligation, commission, attribution earning, referral earning, partnership rights, customer approval, partner approval, renewal right, or customer production licence. Existing referral, attribution, agreement, and commercial eligibility rules remain in force.
6. Data access boundaries
Referral Partner visibility is referral-partner-scoped. Referral Partners cannot see sibling Referral Partners, unrelated customers, unrelated Certified Partner records, partner internal users, System Admin records, NFR controls, broad revenue, unrelated commission data, or unrelated evidence.
7. GDPR and data processing terms
Referral Partners must submit customer and referral information lawfully, accurately, and only with appropriate authorization. Personal data processing is subject to the Privacy Policy, Data Processing Addendum, Sub-Processor and AI Provider Policy, and applicable law.
OVH France may be used as hosting infrastructure. Referral Partners must not export or reuse customer data outside authorized referral purposes.
8. AI, automation, and no-reliance disclaimer
Referral attribution, eligibility, commercial previews, support summaries, and portal messages may use automation or AI-assisted review. These outputs are operational aids only and are not legal, financial, tax, accounting, procurement, compliance, security, or professional advice.
9. Commission terms
Referral earnings depend on eligible net licence revenue, confirmed attribution, payment status, approved customer purchase, active referral status, clawback review, and applicable partner or Strategic Referral model. Partner-owned Referral Partners are governed by their owning Certified Partner's approved referral terms. Strategic Referral Partners are governed by the Strategic Referral Partner Agreement and System Admin governance rules. Standard Referral Partners cannot recruit partners.
Same-domain referral relationships may be allowed only under the standard Referral Partner route where existing referral rules permit them. A same-domain relationship does not create Strategic Referral Partner sponsorship rights or Strategic Referral economics.
Net licence revenue excludes VAT, tax, refunds, credits, payment fees, and non-licence services unless expressly included.
10. Certified Partner relationship
Partner-owned Referral Partners are governed by the owning Certified Partner or Strategic Partner. System Admin is not the normal approval authority for partner-owned Referral Partners and may only perform escalation override for compliance, legal, fraud, security, dispute-resolution, inactive-partner remediation, or platform-governance reasons.
11. Limitation of liability
Modern Management is not liable for Referral Partner losses caused by inaccurate referral information, customer-provided data, customer refusal, customer transfer, partner rejection, ineligible purchase, payment failure, refunds, chargebacks, third-party systems, or external service-provider failure.
12. Audit and evidence retention
Referral applications, referral links, attribution evidence, customer submissions, support, messages, commission calculations, payment state, approval state, and agreement acceptance may be retained for audit, legal, dispute-resolution, billing, governance, and compliance purposes.
13. Download and acceptance requirement
Referral Partners must be able to download the applicable current agreement and may be required to accept the current version before referral links, earnings visibility, support, or referral partner portal access are enabled.
