This Universal Coverage Clause forms part of Modern Management’s global legal framework and works together with the Global Consolidated Plain Language Agreement, the Global Terms of Service, and all other agreements published at https://modernmanagement.co.za/agreements/.
It ensures that all current and future MM services operate under a unified set of rules unless a specific service addendum states otherwise.
1. Purpose of this clause
This clause makes sure that a single, consistent legal framework applies to all Modern Management (“MM”) services, now and in the future.
It avoids product-by-product contracts unless a specific service really needs its own addendum.
2. Scope of coverage
Unless a service-specific agreement or addendum explicitly states otherwise, this clause applies to:
- Workbalance and all its current and future modules
- Raptor, Raptor Dojo and Raptor Coder
- Linkedio
- GroWorth-sponsored or subsidised services
- Ebiexperts integrations and any other technology integrations
- Any MM professional services linked to these platforms
- Any new digital or physical services MM launches in future
All of these are collectively referred to as the “Services”.
3. Applicable global agreements
For all Services, the following global agreements apply by default:
- Global Terms of Service
- Global Privacy Policy
- Data Processing Addendum
- Acceptable Use Policy
- Service Level Agreement
- Payment and Billing Policy
- Sub-processor and AI Provider List
- Security and API Dependency Disclaimer
- Professional Services Agreement (for consulting / project work)
- GroWorth Strategic IP Transfer Notice
- Complaints and Dispute Resolution Procedure
- Cookies and Tracking Policy
- Intellectual Property Statement
- Uptime and Incident Status Page
Each of these may be updated from time to time as described in the Global Terms of Service.
4. Service-specific addendums and precedence
In some cases, MM may publish or sign a service-specific addendum (for example for a particular integration, enterprise deployment, or partner model).
If there is a conflict between documents, the order of precedence is:
- A mutually signed master agreement or Statement of Work (if any),
- Any service-specific addendum for that Service,
- The Data Processing Addendum,
- The Global Terms of Service,
- The remaining global agreements listed above.
Service-specific terms override global terms only to the extent needed for that particular service or engagement.
5. No limitation on MM innovation
This clause does not limit MM’s ability to:
- Launch new Services, modules, or integrations, or
- Change how Services are technically implemented,
as long as they remain governed by the global agreements framework described here or by a clearly communicated service-specific addendum.
